Welcome to TaxNest. These Terms of Service ("Terms") govern your use of our platform and services. By using TaxNest, you agree to these Terms.

1. Acceptance of Terms

By creating an account or using TaxNest, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our service.

2. Description of Service

TaxNest is a document collection platform designed for tax professionals. Our service includes:

  • Branded client portals for document collection
  • AI-powered document recognition and organization
  • Missing forms analysis and recommendations
  • Secure cloud storage for tax documents
  • Document download and export features

3. Account Registration

To use TaxNest, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be at least 18 years old

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree not to:

  • Use the service for any illegal purpose
  • Upload malicious files or content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service
  • Resell or redistribute the service without permission
  • Upload content that infringes on others' rights

5. Client Data and Permissions

As a CPA or tax professional using TaxNest, you represent that:

  • You have obtained necessary consent from clients to collect and store their documents
  • You will use client data only for legitimate tax preparation purposes
  • You will comply with all applicable laws regarding client data

6. Storage Limits

Each client account includes 2GB of storage. Files exceeding size limits or total storage capacity may be rejected. We reserve the right to modify storage limits with notice.

7. AI Processing Disclaimer

Our AI-powered features are designed to assist with document organization and provide recommendations. However:

  • AI analysis is not a substitute for professional judgment
  • Missing forms reports are recommendations and may not be comprehensive
  • You are responsible for verifying document classifications and completeness
  • AI accuracy may vary and is not guaranteed

8. Pricing and Payment

During our early access period, TaxNest is free to use. When we introduce paid plans:

  • Pricing will be clearly communicated before charges apply
  • You may cancel at any time before being charged
  • Refunds will be handled according to our refund policy

9. Intellectual Property

TaxNest and its original content, features, and functionality are owned by us and are protected by intellectual property laws. You retain ownership of all documents you upload.

10. Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is 100% secure. You acknowledge and accept this inherent risk.

11. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects availability. We are not liable for any downtime or service interruptions.

12. Limitation of Liability

To the maximum extent permitted by law, TaxNest shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of data
  • Business interruption
  • Any damages arising from use of our service

13. Indemnification

You agree to indemnify and hold harmless TaxNest from any claims, damages, or expenses arising from your use of the service or violation of these Terms.

14. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may delete your account at any time. Upon termination, your data will be deleted according to our data retention policy.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes via email or through the service. Continued use after changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
